Terms of Service

1. Agreement to Terms

By accessing or using Flaude ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these terms, do not use the Service.

The Service is operated by Sidekick CommV, a company registered in Belgium, trading as Flaude ("we," "us," or "our"). We reserve the right to modify these terms at any time. We will notify you of material changes by email at least 30 days before they take effect, and will update the "Last updated" date above.

2. Eligibility

You must be at least 16 years old to use the Service. By using Flaude, you represent and warrant that you are at least 16 years of age. If you are under 16, you may not use the Service under any circumstances.

If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these terms.

3. Description of Service

Flaude is a Figma plugin that connects Claude AI to your design workflow. The Service allows users to generate, modify, and enhance designs using AI assistance.

Features, functionality, and availability may change without notice. We do not guarantee that any specific features will be available or maintained indefinitely.

4. Accounts and Registration

To use certain features, you must create an account. You agree to:

Provide accurate and complete information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access

We may suspend or terminate accounts that violate these terms. We may also terminate accounts for any other reason with reasonable notice, except where immediate termination is necessary to prevent harm or legal liability.

5. Subscription and Payment

5.1 Subscription Plans

Flaude offers monthly and lifetime subscription plans. Plan details and pricing are available on our website and may change at any time.

5.2 Billing and Cancellation

Monthly subscriptions are billed in advance and automatically renew unless cancelled. You authorize us to charge your payment method on file for each renewal period. To cancel your subscription, email us at studio@flaude.app before your next billing date. Cancellation takes effect at the end of your current billing period.

5.3 Refunds

All fees are non-refundable except as required by applicable law. We do not provide refunds or credits for partial subscription periods, unused features, or account upgrades/downgrades.

If you are located in the European Union, you have a right of withdrawal within fourteen (14) days of purchase under the Consumer Rights Directive (2011/83/EU). By completing your purchase, you expressly consent to immediate access to the Service and acknowledge that you thereby waive your 14-day right of withdrawal once the Service has been accessed.

5.4 Lifetime Subscriptions

"Lifetime" refers to the operational lifetime of the Flaude service, not the lifetime of the subscriber. Lifetime subscriptions:

Are non-transferable and may only be used by the original purchaser
Include all features and updates for the lifetime of the Service
Are subject to fair use limitations on storage and bandwidth

5.5 Referral Program

Flaude may offer a referral program allowing users to earn free subscription time by referring new users. Referral rewards:

Are subject to verification that the referred user is a genuine new customer
May be modified, suspended, or terminated at any time without notice
Cannot be combined with other promotions unless explicitly stated
Are non-transferable and have no cash value
May be revoked if obtained through fraud or abuse

6. User Content and Intellectual Property

6.1 Your Content

You retain all ownership rights to designs and content you create using the Service ("User Content"). Flaude does not claim any ownership rights in your User Content.

6.2 License to Flaude

By using the Service, you grant Flaude a worldwide, non-exclusive, royalty-free license to use, reproduce, and process your User Content solely as necessary to provide and maintain the Service. This license does not include the right to use your content to train AI models, for marketing, or for any purpose unrelated to delivering the Service to you. This license terminates when you delete your content or close your account.

6.3 Your Responsibilities

You represent and warrant that you have all necessary rights to any content you upload and that your content does not infringe any third party's intellectual property rights.

7. Acceptable Use

You agree not to use the Service to:

Violate any applicable law or regulation
Infringe the intellectual property rights of others
Upload harmful, offensive, or illegal content
Transmit malware or attempt to access systems without authorization
Interfere with or disrupt the Service
Use automated systems to access the Service without permission
Resell or redistribute the Service without authorization

8. AI-GENERATED CONTENT DISCLAIMER

FLAUDE USES ARTIFICIAL INTELLIGENCE TO GENERATE DESIGN SUGGESTIONS AND CONTENT. YOU ACKNOWLEDGE AND AGREE THAT:

AI-GENERATED OUTPUTS MAY BE INACCURATE, INCOMPLETE, OR CONTAIN ERRORS
AI-GENERATED DESIGNS MAY INADVERTENTLY RESEMBLE EXISTING WORKS OR THIRD-PARTY INTELLECTUAL PROPERTY
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING, VERIFYING, AND APPROVING ALL AI-GENERATED CONTENT BEFORE USE
FLAUDE MAKES NO REPRESENTATIONS REGARDING THE ORIGINALITY, ACCURACY, OR LEGAL COMPLIANCE OF AI-GENERATED OUTPUTS
YOU ASSUME ALL RISK AND LIABILITY FOR YOUR USE OF AI-GENERATED CONTENT

WE STRONGLY RECOMMEND THAT YOU CONDUCT APPROPRIATE DUE DILIGENCE, INCLUDING TRADEMARK AND COPYRIGHT SEARCHES, BEFORE USING AI-GENERATED DESIGNS COMMERCIALLY.

9. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLAUDE EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
WARRANTIES THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS
WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
WARRANTIES THAT ANY DEFECTS WILL BE CORRECTED
WARRANTIES REGARDING THE ACCURACY OR RELIABILITY OF ANY RESULTS OBTAINED FROM THE SERVICE

10. DATA LOSS DISCLAIMER

FLAUDE IS NOT RESPONSIBLE FOR ANY LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO YOUR CONTENT OR DATA. YOU ARE SOLELY RESPONSIBLE FOR MAINTAINING BACKUPS OF YOUR DESIGNS AND CONTENT.

WE DO NOT GUARANTEE THE PRESERVATION, BACKUP, OR RECOVERY OF ANY USER CONTENT. DATA MAY BE LOST DUE TO TECHNICAL FAILURES, SERVICE CHANGES, OR ACCOUNT TERMINATION.

11. THIRD-PARTY SERVICES

THE SERVICE RELIES ON THIRD-PARTY PROVIDERS INCLUDING BUT NOT LIMITED TO ANTHROPIC (CLAUDE AI), FIGMA, REVOLUT (PAYMENTS), AND SUPABASE (INFRASTRUCTURE). YOU ACKNOWLEDGE THAT:

WE ARE NOT LIABLE FOR ANY OUTAGES, CHANGES, OR DISCONTINUATION OF THIRD-PARTY SERVICES
THIRD-PARTY SERVICE CHANGES MAY AFFECT THE FUNCTIONALITY OR AVAILABILITY OF FLAUDE
YOUR USE OF THE SERVICE IS ALSO SUBJECT TO THE TERMS AND POLICIES OF THESE THIRD-PARTY PROVIDERS
WE MAKE NO WARRANTIES REGARDING THE PERFORMANCE, SECURITY, OR RELIABILITY OF THIRD-PARTY SERVICES

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLAUDE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND SUPPLIERS SHALL NOT BE LIABLE FOR ANY:

INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, DATA, USE, OR GOODWILL
COST OF SUBSTITUTE SERVICES
BUSINESS INTERRUPTION

ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF FLAUDE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL MAXIMUM LIABILITY OF FLAUDE FOR ANY AND ALL CLAIMS ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) ONE HUNDRED US DOLLARS ($100 USD); OR (B) THE FEES PAID BY YOU TO FLAUDE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Flaude and its affiliates from any claims, damages, losses, and expenses (including legal fees) arising from:

Your use of the Service
Your User Content
Your use of AI-generated content
Your violation of these terms
Your violation of any third party's rights

14. Termination

We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these terms or for any other reason at our sole discretion.

Upon termination:

Your right to access the Service ceases immediately
We may delete your User Content after 30 days
You remain liable for any fees owed
Sections 8-13 and 15-17 survive termination

15. Force Majeure

Flaude shall not be liable for any failure or delay due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, cyberattacks, government actions, power outages, or third-party service failures.

16. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Belgium, without regard to its conflict of law provisions.

Dispute Resolution: Any disputes arising from these terms shall be submitted to the competent courts of Belgium.

EU Consumer Rights: If you are a consumer in the European Union, nothing in these terms affects your statutory rights under applicable EU consumer protection law, including your right to bring legal proceedings in the courts of your country of residence.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flaude regarding the Service.

Severability: If any provision is found unenforceable, the remaining provisions remain in effect.

No Waiver: Our failure to enforce any right does not waive that right.

Assignment: You may not assign these terms without our consent. We may assign these terms at any time.
